Terms & Conditions
By subscribing to the Palletfly Buyer Circle, you agree to the following terms and conditions. The Buyer Circle subscription provides access to special benefits, including lower minimum order quantities (MOQs), discounted pricing, and other services outlined below. Your subscription is subject to automatic renewal and the terms specified here.
As a Buyer Circle member, you will receive the following benefits:
- Lower MOQs starting at $100 per SKU or 1 case pack, whichever is greater.
- Access to exclusive discounted pricing on select products.
- 14 days of free order storage at Palletfly’s warehouse.
- Free order splitting to multiple locations, including FBA centers. The following limitations apply:
- Order must be shipping from Palletfly owned warehouse at 2493 Mcdonald Ave Brooklyn NY 11223.
- Does not apply to splitting a box into smaller boxes. Each shipment created must be the case pack of the products that are in the shipment.
- Standard pricing options available for bulk purchases.
Limitations:
- Pricing Variations: In some cases, Buyer Circle pricing may be higher than standard pricing for smaller quantities due to increased shipping, handling, or operational costs. This reflects the additional costs involved in processing smaller wholesale orders. Standard pricing options are available for larger orders.
- Shipping Costs: Shipping and any special preparation are not included in the product prices and will be charged separately on a case by case basis.
- Standard Order Terms: All orders placed under the Buyer Circle program are subject to Palletfly’s standard order terms, including payment, delivery, and return policies.
- Retroactive Benefits: Benefits cannot be applied retroactively to orders placed before the membership activation or during a period of lapsed membership.
These benefits are exclusive to active Buyer Circle members and are subject to change without notice.
The Buyer Circle subscription is billed at a rate of $99 per month. This fee is charged automatically on a recurring basis every month, following your subscription start date. Fees cover the cost of handling smaller orders and providing special services to members.
- Billing Process: Your account will be billed within 1-2 business days after signing up for the Buyer Circle membership. Monthly subscription fees are billed automatically via QuickBooks and follow an auto-renewal model.
- Payment Due: Payment is due once an invoice is issued. You will have a 10-day grace period from the invoice date to make your payment. If payment is not received within 10 days, your membership will be canceled.
- Payment Methods: Payments can be made using methods as outlined in Palletfly’s general payment guidelines. Any existing account credit will be applied to your outstanding balance for Buyer Circle subscription fees.
- Auto-Renewal: The Buyer Circle subscription automatically renews each month unless canceled. You will be billed at the start of each new subscription period unless action is taken to cancel the subscription before renewal.
- Cancellation Policy: You can cancel your subscription at any time through your account’s "Buyer Circle" page. Cancellations will take effect at the end of the current billing period, and you will retain access to your benefits until that time. No refunds will be issued for partial months of service.
- Non-Payment and Membership Suspension: If payment is not made within 10 days of the invoice date, your Buyer Circle membership will be automatically canceled. Upon cancellation, all associated benefits and privileges will be revoked, and you will no longer be able to access the exclusive lower MOQs, pricing, and other Buyer Circle services.
- Reactivation After Non-Payment: If your membership is canceled due to non-payment, you can request to resume your service at any time. To reactivate, you will need to pay the outstanding balance in full, including any unpaid subscription fees. Upon payment, your Buyer Circle membership will be reinstated, and all benefits will resume. However, you will not be able to retroactively apply Buyer Circle pricing or benefits to any orders placed during the period of cancellation.
- Reactivation Timeline: After a payment clears for a request to resume service, your membership will typically be reactivated within 1-2 business days.
Any existing account credit will automatically be applied to reduce the open balance for Buyer Circle membership fees. Credits will be deducted before any new payments are processed, and you will be billed for the remaining balance, if any.
Palletfly reserves the right to modify the terms of the Buyer Circle subscription at any time, including but not limited to pricing, benefits, and cancellation policies. Subscribers will be notified of any changes in advance, and the updated terms will apply at the start of the next billing cycle.
The Buyer Circle membership is available only to customers with valid Palletfly accounts in good standing. Palletfly reserves the right to revoke or deny membership to any customer for violation of these terms, non-payment, or misuse of services.
Palletfly shall not be held liable for any indirect, incidental, or consequential damages arising from your use of the Buyer Circle membership or the inability to access benefits due to system outages, supplier limitations, or other factors beyond our control.
These terms and conditions are governed by and construed in accordance with the laws of the state in which Palletfly operates. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in that state.
